Introduction
Welcome to RatioCI, accessible at https://ratioci.in/ (hereinafter referred to as the “Website,” “Site,” or “RatioCI”). These Terms and Conditions (“T&C,” “Terms,” or “Agreement”) constitute a legally binding agreement between you, the user ( hereinafter referred as “User,” “You,” or “Your”), and the owner and operator of RatioCI, (hereinafter referred as “We,” “Us,” or “Our”). This Agreement governs your access to and use of the Website, including all content, features, and services offered herein.
By accessing, browsing, or using this Website in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and Our Privacy Policy, which is incorporated herein by reference (Click Here). If you do not agree with any part of these Terms, you must immediately cease all use of the Website. Your use of the Website signifies your acceptance of these Terms and forms a valid and enforceable electronic contract under the provisions of the Indian Contract Act, 1872, and the Information Technology Act, 2000, and the rules thereunder. This acceptance is akin to a “click-wrap” agreement, where continued usage implies consent.
These Terms apply to all visitors, users, registered members, guest authors, and any other individuals who access or interact with the Website. This Website operates under, and this Agreement shall be interpreted in accordance with, the laws of India, including but not limited to the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (the “IT Rules”), the Indian Contract Act, 1872, the Copyright Act, 1957, and other relevant statutes. As RatioCI may host content provided by third parties (Guest Authors), it may be classified as an ‘intermediary’ under the IT Act and IT Rules. These regulations mandate the publication of Terms and Conditions and a Privacy Policy outlining rules, regulations, user obligations, and consequences of non-compliance, making this document a legal necessity for Our operation in India.

This section outlines the terms governing the submission and publication of Guest Author Content on RatioCI.
- Submission Process: Guest Authors may propose or submit Content for consideration by contacting Us through the designated channels specified on the Website (e.g., contact form, specific email address). Submission of Content does not create any obligation on Our part to review, consider, or publish it.
- RatioCI Discretion: We retain absolute and sole discretion regarding all aspects of Guest Author Content. This includes, without limitation, the right to:
- Accept or reject any Submission for publication, for any reason or no reason, without providing justification.
- Review, edit, modify, adapt, reformat, shorten, or otherwise alter any Submission before or after publication to ensure it aligns with Our editorial standards, style guidelines, SEO requirements, or for clarity, accuracy, legality, or any other purpose We deem necessary.
- Determine the final title, layout, and placement of the published Content.
- Remove or disable access to any published Guest Author Content from the Website at any time, without prior notice, reason, or liability to the Guest Author.
- Content Requirements: To be considered for publication, Guest Author Content must meet the following criteria:
- Originality and Exclusivity: The Content must be the Guest Author’s original work, created solely by them. It must not have been previously published, in whole or in part, in any form (including online blogs, websites, social media, print publications, academic repositories, etc.) and must not be under consideration for publication elsewhere simultaneously.
- Relevance: The Content must be relevant to the subject matter and focus of RatioCI, primarily relating to Indian law, legal principles, case analysis, statutory interpretation, or materials helpful for legal exams.
- Quality and Accuracy: The Content must be well-written, accurate, thoroughly researched, and provide substantive value to Our readers. While We may perform some edits, the primary responsibility for factual accuracy and legal correctness rests with the Guest Author.
- Non-Infringement: The Content (including any text, images, data, or other materials incorporated within it) must not infringe upon any third-party rights, including but not limited to Intellectual Property Rights (copyright, trademark, patent), privacy rights, publicity rights, or contractual rights. Proper attribution must be given for any third-party material used where permitted (e.g., under fair use principles, properly cited).
- Legality and Appropriateness: The Content must not contain any material that is illegal, defamatory, libelous, obscene, pornographic, harassing, threatening, hateful, inflammatory, invasive of privacy, or otherwise objectionable or inappropriate as determined in Our sole discretion.
- Compliance: The Content must comply with all applicable laws and regulations of India.
- Exclusivity Post-Acceptance: Upon acceptance and publication by RatioCI, the Guest Author agrees that the published Content shall remain exclusive to the Website. The Guest Author shall not republish, syndicate, distribute, or otherwise make the same or substantially similar Content available elsewhere, in any format, without Our prior express written permission. This exclusivity is essential for maintaining the unique value of the content on RatioCI.
- Author Representations and Warranties: By submitting Content, the Guest Author represents and warrants to Us that:
- They are the sole author and owner of the submitted Content, or have obtained all necessary rights, licenses, consents, and permissions to submit the Content and grant the rights and licenses set forth in these T&C.
- They have the full legal right, power, and authority to enter into this Agreement and grant the licenses specified herein.
- The Content is original to the Guest Author and does not plagiarize or infringe upon the copyright, trademark, patent, trade secret, right of privacy, right of publicity, moral rights, or any other intellectual property or proprietary right of any third party.
- The Content is accurate and truthful to the best of the Guest Author’s knowledge and belief, and does not contain any false, misleading, defamatory, or unlawful statements or material.
- The Content has not been previously published elsewhere in any form, and is not currently under consideration by any other publication or platform, unless explicitly disclosed to and approved by Us in writing prior to submission. If prior publication occurred, the Guest Author warrants they possess unencumbered rights to grant the license herein and accepts full liability for any claims arising therefrom.
- Author Liability and Indemnification: The Guest Author acknowledges and agrees that they are solely and entirely responsible and liable for the Content they submit and for any consequences arising from its publication or use. The Guest Author agrees to indemnify, defend, and hold harmless RatioCI, its owners, directors, officers, employees, agents, affiliates, successors, and assignees from and against any and all claims, actions, suits, proceedings, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising out of, related to, or in connection with:
- The Guest Author Content submitted, including but not limited to claims of copyright infringement, trademark infringement, defamation, libel, invasion of privacy, violation of publicity rights, or inaccuracy.
- Any breach or alleged breach by the Guest Author of their representations, warranties, or obligations under these T&C.
- Any claim or action arising specifically from the Content having been published elsewhere prior to, concurrently with, or subsequent to its publication on RatioCI in violation of the exclusivity terms or representations made herein. This explicit indemnification covers potential disputes RatioCI might face due to the author’s failure to secure necessary rights or adhere to exclusivity commitments made elsewhere.
- Attribution: If Guest Author Content is published, We will normally provide attribution to the Guest Author, usually in the form of their name and a brief biographical statement provided by the Author and approved by Us. The placement and format of attribution are at Our discretion.
- No Compensation: Guest Authors submit Content on a voluntary basis. No monetary compensation, fee, revenue sharing, or other form of remuneration will be paid for Guest Author Content or the rights granted herein, unless otherwise expressly agreed upon in a separate written agreement signed by both parties.
- Independent Contractor Status: The relationship between RatioCI and Guest Authors is solely that of an independent contractor. The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent as closely as possible.
